Acceptance of terms

These Terms of Service are an agreement between you and ELMNTALSAI PRIVATE LIMITED, the company that operates the Preqonn AI platform ("Preqonn AI", "we", "us"). By creating an account, accessing, or using the Preqonn AI platform, you agree to these terms. If you do not agree, do not use the platform.

If you use Preqonn AI on behalf of a company, you confirm that you have authority to bind that company, and "you" in these terms means that company. Where your company has signed a separate written agreement with us, that agreement controls if it conflicts with these terms.

Accounts

You need an account to use Preqonn AI. You must provide accurate information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure.

Accounts are for the named user and may not be shared. You must be at least 18 years old and able to enter a binding contract. Notify us promptly at info@preqonn.com if you suspect unauthorized use of your account.

The service

Preqonn AI is software that reads project documents and helps you produce estimates and bid packages. Outputs are reviewed by senior estimators before delivery, but they remain a working tool, not professional engineering or legal advice.

You are responsible for reviewing every output before you rely on it, submit it, or commit to a price. Final responsibility for your bids, scopes, and submittals rests with you and your organization.

Acceptable use

When you use Preqonn AI, you agree not to do any of the following.

• Use the platform to break the law or infringe anyone's rights.
• Upload content you do not have the right to upload, or that contains malware.
• Reverse engineer, copy, or resell the platform, except where the law expressly allows it.
• Probe, scan, or test the security of the platform without our written permission.
• Interfere with or disrupt the platform, its infrastructure, or other users.
• Use automated means to access the platform in a way that places unreasonable load on it.
• Misrepresent your identity or your authority to act for an organization.

We may suspend or limit access if we reasonably believe these rules are being broken.

Your content and IP

You own your content. The project documents you upload, including drawings, plans, specifications, and schedules, remain yours. The estimates, takeoffs, and bid packages generated for you are also yours.

You grant Preqonn AI a limited, non-exclusive license to host, process, and display your content solely to provide and support the service to you. This license ends when you delete the content or close your account, except for limited copies retained in backups for a short period or where we must keep records to meet legal obligations.

You are responsible for having the rights to the documents you upload and for the accuracy of the information in them. We do not claim ownership of your content, and we do not use it to train shared or public AI models.

Our intellectual property

Preqonn AI, including the platform, its software, models, design, and the Preqonn AI name and marks, is owned by us and protected by intellectual property law. These terms do not transfer any ownership of the platform to you.

We grant you a limited, non-exclusive, non-transferable right to access and use the platform during your subscription, for your own business purposes, subject to these terms. If you send us feedback or suggestions, we may use them to improve the platform without obligation to you.

Service availability

We work to keep Preqonn AI available and reliable, but we do not promise uninterrupted access. The platform may be unavailable during maintenance, updates, or events outside our control.

We may add, change, or remove features over time. If we make a material change that significantly reduces the core functionality of a paid plan, we will give reasonable notice. Where a separate written agreement includes specific service commitments, those commitments apply.

Fees and payment

Access to paid plans requires payment of the fees agreed in your order or subscription. Fees are quoted exclusive of taxes, and you are responsible for any applicable taxes.

Unless your order says otherwise, fees are billed in advance and are non-refundable except where required by law. If a payment is late, we may suspend access until the balance is cleared. We will give notice before any change to recurring fees, and changes take effect at your next renewal.

Disclaimers

The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Preqonn AI disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Preqonn AI will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost bids, or lost data, arising from or related to your use of the platform.

Our total liability for any claim arising from these terms or the platform will not exceed the amount you paid to Preqonn AI for the platform in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Term and termination

These terms apply for as long as you use Preqonn AI. You may stop using the platform and close your account at any time.

We may suspend or terminate your access if you breach these terms, fail to pay fees, or use the platform in a way that creates risk for us or other users. On termination, your right to use the platform ends. You may export your content before your account closes, and we will delete or de-identify your content as described in our Privacy Policy. Sections that by their nature should survive termination, such as content ownership, disclaimers, and limitation of liability, will continue to apply.

Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The courts located in Delaware will have exclusive jurisdiction over any dispute arising from these terms or the platform, and you consent to that jurisdiction.

Before starting formal proceedings, both parties agree to first try to resolve any dispute in good faith by contacting each other directly.

Changes to these terms

We may update these terms as the platform and the law evolve. When we make a material change, we will update the effective date above and notify account administrators by email or through the platform before the change takes effect.

If you continue to use Preqonn AI after an update takes effect, you accept the revised terms. If you do not agree, you should stop using the platform.
